One of the projects in this field is related to participation in the founding of a software company in the Optical Character Recognition (OCR) field for converting images into electronic text for storage, searching, accessibility and other electronic applications, including by Internet.
The entrepreneur contacted a legal services during initial negotiations with a strategic company for the project, with the aim of the latter becoming, in the early stages of the project / company, a significant partner (more than 50%).
The work with the entrepreneur included analysis of the concept, structuring the business potential and enrolling a leading accounting firm into the project. Following this process, the developer understood that the negotiations he had started were not benefiting him and it was worth delaying them until an investor (angel) of greater value could be enrolled, followed by integrating the strategic company later, while maintaining significant ownership or control of the project / company.
This move did materialize in the end, creating an instrumental trust mechanism in the process (see relevant chapter). Once the need for the instrumental trust had run its course, the equity for the services was disposed of (Exist).
